General conditions of sale - GTC
Designation
You and Science SAS, here called You & Science, is a company registered at the Préfecture de l'Hérault under the number : 76341043134 whose object is the training specialized in Biology and in particular zebrafish fish.
Its registered office is in Montpellier RCS - 850 205 501.
You & Science designs, develops and delivers trainings, mainly in Montpellier and Paris, alone or in partnership. You & Science also works on the premises of its clients.
In the following paragraphs, it is agreed to designate by:
- Client: any natural or legal person who registers or orders an education from You & Science.
- Learner: a natural person participating in a training.
- GTC: the general terms and conditions of sale, detailed below.
- OPCO: the approved joint collection agencies responsible for collecting and managing the training effort of companies.
Object
These General Terms and Conditions apply to all training services provided by You & Science on behalf of a Client. The fact of registering or placing an order implies the full and unreserved acceptance of the Client to these Terms and Conditions. The present GTC takes precedence over any other document of the Customer, and in particular on all the general conditions of purchase of the Client.
Financial conditions, regulations and payment methods
All prices are quoted in euros and excluding taxes.
The payment of the price of the training is to be carried out at the latest 15 days before the beginning of the training, on receipt of invoice, in cash, without discount, to the order of You and Science SAS.
It is the responsibility of the Client to pay for his training and to make his request to the organization if he is covered by the OPCO on which he depends.
In exceptional situations, payment may be made in installments. In any case, the modalities must have been formalized before the start of the training.
Dedit and replacement of a participant
In the event of a withdrawal by the Client of You & Science at least 7 days before the start of the training, You & Science offers the Client the possibility:
- to postpone the registration of the Learner to further training, duly scheduled in the catalog of You & Science, and after eventual agreement of the OPCO,
- replace the Learner prevented by another participant with the same profile and training needs, subject to the possible agreement of OPCO.
Cancellation, absence or interruption of a training
Any module started is due in its entirety and will be billed to the Client by You & Science.
In case of absence, interruption or cancellation, You & Science's billing will distinguish the price corresponding to the days actually taken by the Learner and the amounts due for absences or interruption of the training.
On the other hand, in case of cancellation of the training by the Client, You & Science reserves the right to charge the Client a cancellation fee calculated as follows:
- if the cancellation occurs more than 15 working days before the start of the training, there will be no cancellation fee
- if the cancellation occurs at the latest 7 days before the start of the training: the cancellation fees are equal to 50% of the price of the training:
- if the cancellation occurs less than 7 working days before the start of the training: the cancellation fee is equal to 100% of the price of the training.
Opening hours and reception
Unless otherwise indicated on the presentation sheet of the training and the convocation, the daily duration of the trainings is fixed at seven hours.
The training runs from 09:30 to 13:00 and from 14:00 to 17:30 with a break in the middle of each half-day. The premises of You & Science welcome Learners from 09:00 to 18:00.
The places, addresses and schedules of the trainings are indicated on the convocation which is transmitted to the Customer and to the Learner by email with acknowledgment of receipt 15 days before the beginning of the training.
Staff and adjournment
To promote the best learning conditions, the number of each training is limited to 12 Learners. This number may vary for each training, depending on the objectives and pedagogical methods.
Registrations are taken into account in their order of arrival. The issue of an estimate does not take place registration. Only quotations duly completed, dated, stamped, signed and marked "Good for agreement", returned to You & Science have contractual value. Once enrollment is complete, enrollment is closed. You & Science can then offer the Learner to participate in a new session or to be on a waiting list.
In the event that the number of participants is insufficient to ensure the proper conduct of a training, You & Science reserves the right to postpone the training no later than one week before the scheduled date, without compensation.
Quotation and certificate
For each training, a quote is sent by You & Science to the Client. The estimate duly completed, dated, stamped, signed and marked "Good for agreement" must be returned to You & Science by mail or email no later than 15 working days before the start of the training. The request for support from OPCO and all administrative procedures are the responsibility of the Client. If necessary, a special agreement may be established between You & Science and the Client. Following the training, You & Science transmits a training certificate to the Learner. In the case of a partial or total assumption by a OPCO, You & Science sends him a copy of this certificate accompanied by the invoice.
Obligations
As part of its training services, You & Science is held to an obligation of means and not of result vis-à-vis its Clients or its Learners.
Force majeure
You & Science can not be held responsible towards its Clients or Learners in case of non-fulfillment of its obligations resulting from a fortuitous event or force majeure. Are regarded here as fortuitous case or force majeure, besides those usually recognized by the jurisprudence: the illness or the accident of a speaker or a pedagogical director, the strikes or social conflicts external to You & Science, the natural disasters , fires or any other circumstance beyond the reasonable control of You & Science.
Intellectual property and copyright
All presentation forms, contents and teaching aids in any form (paper, electronic, digital, oral ...) used by You & Science to provide training or given to Learners are original works and as such is protected by intellectual property and copyright.
The Client and the Learner are prohibited from using, transmitting, reproducing, exploiting or transforming all or part of these documents, without the express agreement of You & Science. This prohibition covers, in particular, any use made by the Client and the Learner for the organization or animation of training.
Unless expressly requested by the Learner, You & Science reserves the right to use for any communication purposes any photograph or video taken as part of the training.
Program and training program
The contents of the programs as they appear on the training presentation sheets are provided for information only. The teacher reserves the right to modify them according to the news, the level of the participants or the dynamics of the group.
Confidentiality and communication
You & Science, the Client and the Learner undertake to keep confidential the documents and information to which they could have access during the training delivery or during the exchanges that took place before the registration, in particular the all the elements contained in the proposal transmitted by You & Science to the Client.
You & Science undertakes not to communicate to third parties other than the partners with whom the training courses are organized and to the OPCO, the information provided by the Client including the information concerning the Learners. However, the Client agrees to be quoted by You & Science as a customer of his trainings. For this purpose, the Client authorizes You & Science to mention his name and an objective description of the nature of the services in his lists of references and proposals to the attention of his prospects and his customers, interviews with third parties, activity reports, as well as legal, regulatory or accounting provisions that require it.
Protection and access to personal information
You & Science agrees to inform each Learner that:
- personal data concerning him / her are collected and processed for the purposes of monitoring the validation of the training and improving the supply of You & Science.
- in accordance with the law n ° 78-17 of January 6th, 1978, the Learner has a right of access, modification, rectification of the personal data concerning it.
The Learner may exercise this right by writing to: You & Science, 806 avenue du Père Prévost 34090 Montpellier or electronically to contact@youandscience.com.
In particular, You & Science will keep the data related to the Learner's learning path and assessment, for a period not exceeding the duration necessary for the assessment of the training.
Applicable law and competent jurisdiction
The general conditions detailed in this document are governed by French law. In the event of any dispute arising between the Client and You & Science in connection with the interpretation of these terms or the performance of the contract, an amicable solution will be sought. Otherwise, the Tribunal de Montpellier will have sole jurisdiction to settle the dispute.
